Terms and Conditions

This promotion (“Promotion”) is available to customers of TradeZero America, Inc. (“TZA”) (United States), TradeZero, Inc. (“TZI”) (Bahamas); and TradeZero Canada Securities ULC (“TZC”) (Canada), (collectively the “TradeZero Broker Dealers”). Do not participate in this Promotion if you do not agree with all of the following terms and conditions.

Eligible New Account Holders

The Promotion is available to all new TZA, TZI, and TZC account holders (“Eligible New Account Holder”) who: (1) open a TradeZero account through TWOWS’s “Take the Offer” link on https://tradezero.us/twows ; and (2) fund their TradeZero account with a single initial deposit equal to or greater than any applicable TradeZero Broker Dealer initial deposit minimum in immediately available funds received by an applicable TradeZero Broker Dealer (“Eligible Deposit”) within 90 days of opening the account. Initial deposit minimum amounts are disclosed on each TradeZero Broker Dealer website.

Promotion Period

The Promotion is available to Eligible New Account Holders while the Promotion is active. TradeZero Broker Dealers reserve the right to modify or end the Promotion at any time and without prior notice to you.

Locate Discount

Following an initial Eligible Deposit, TradeZero will provide Eligible New Account Holders with a 5% discount on all TradeZero locate or pre-borrow charges incurred for non-easy to borrow stocks for the life of the TradeZero account (“Locate Discount”).

Platform Discount

For a period of three (3) months following an initial Eligible Deposit, TradeZero will provide Eligible New Account Holders with the ZeroPro securities trading platforms for free (i.e., without charge for monthly software fees and referred to as the “Platform Discount”). The Platform Discount will appear as a charge and a refund on an Eligible New Account Holder’s monthly statement for the first three (3) months of the life of the account.

Account Deposit Credit

All Eligible New Account Holders will receive in their TradeZero account a 1% deposit credit (“Deposit Credit”) for their Eligible Deposit with a maximum credit amount of $1,000.00 (USD). The Deposit Credit will be allocated to the Eligible New Account Holder’s TradeZero Account on the next business day immediately following a sixty (60) day period beginning on the day TradeZero receives the Eligible Deposit.

Restrictions

This Promotion is only available to Eligible New Account Holders. This Promotion is not open in any jurisdiction where TradeZero Broker Dealers are not authorized to do business, where their products and services would be contrary to the laws, rules and regulations governing the securities industry or where otherwise prohibited by the local laws, rules, and regulations of any applicable jurisdiction. Employees of NYSE Arca Equities, NYSE American, and Nasdaq Stock Market are not eligible for this promotion.

The Promotion is not available to anyone who currently has, or in the last 6 months has had, a TradeZero account.

The Locate Discount does not apply to any overnight borrow charges incurred for holding a short position overnight.

The Locate Discount cannot be combined with any other available discount on locate or pre-borrow charges, including Platinum or Platinum + discounts.

The maximum Platform Discount to be awarded in any on-month period shall be $59 (USD). The Platform Discount shall not include market data enhancements such as OTC Markets Level 1 ($5 USD per month) or OTC Markets Level 2 ($15 USD per month).

ACAT transfers or other transfers of securities to a TradeZero Broker Dealer account do not satisfy the Eligible Deposit requirement. Multiple account deposits cannot be combined to meet the requirements of an Eligible Deposit. An Eligible Deposit must be completed within 90 days of account opening.

A TradeZero Broker Dealers may, at its sole discretion, rescind the Platform Discount, the Locate Discount, and/or the Deposit Credit (collectively, the “Promotion Awards”) if an Eligible New Account Holder completes one or more withdrawal from their TradeZero account within ninety (90) of their Eligible Deposit that leaves their TradeZero Account with a balance below the amount of their relevant Eligible Deposit.

Responsibility for Taxes

Eligible New Account Holders are solely responsible for any and all tax payment and reporting obligations that may arise as a result of participating in the Promotion, including for any of the Promotion Awards. The TradeZero Broker Dealers, their parent companies, their affiliates, and subsidiaries (collectively, the “TradeZero Entities”) shall not be liable or responsible for any tax payments on behalf of the Eligible New Account Holders. However, TradeZero reserves the right to withhold or report on any Promotion Award to the extent required by law.

Disputes

By participating in the Promotion, Account Holder agrees that the maximum amount in controversy to be awarded in any dispute with the TradeZero Entities is the cash value of any applicable Promotion Awards. All disputes arising out of the Promotion shall be governed by the Account Holder’s customer agreement with the applicable TradeZero Broker Dealer.
